Weaver was founded in 1950 and has since grown to provide a wide array of assurance, tax and advisory services. We've spread our Texas roots to 12 offices coast to coast. The firm’s headquarters are in Houston, where the managing partner and CEO, John Mackel, resides. Weaver is the largest independent accounting firm headquartered in the Southwest, currently ranked the 35th-largest by INSIDE Public Accounting. In the past year, Weaver has provided assurance, tax and advisory services to approximately 500 health care and health care-related clients. Assurance Services include Audits, Reviews, Compilations and Agreed-Upon Procedures. Tax and Strategic Business Services include Federal Tax Compliance Planning, IRS Audit Representation, and State and Local Tax Services. Specific Federal Tax Compliance Planning services include compensation planning; stockholder (buy/sell) reviews; federal and state tax credit reviews; inventory and LIFO studies; cost segregation; choice-of-entity analysis; 1031 tax-free exchanges; ASC 740: Tax Provision Compliance (formerly FAS 109) and FIN 48 Analysis; net operating loss utilization; representation before the IRS and other taxing authorities; and research and development tax credit. Specific State and Local Tax services include income/franchise tax refund reviews; sales and use tax refund reviews; audit defense and controversy hearings and appeals; Nexus requirements; apportionment methodologies; outsourcing of income/franchise and sales and use tax compliance; due diligence for acquisition and divestiture activities; property tax compliance and consulting; voluntary disclosure/tax amnesty negotiations; transaction structuring; unclaimed property reporting and policy and procedure consultation; unitary taxation; and credit and incentive negotiation. Financial Advisory Services tailored to the health care industry include Valuation, Transaction Advisory, CFO Advisory, Restructuring & Turnaround, and Forensics & Litigation services. Specific Valuation services include business and portfolio valuation; fair market value (FMV) of compensation arrangements such as management services fees and physician compensation; personal goodwill valuation; purchase price allocations; goodwill impairment; fairness opinions; and profit interests, stock options, and warrant valuations. Specific Transaction Advisory services for due diligence include quality of earnings; quality of revenue; market studies; synergy calculation; blinded reimbursement studies; working capital analysis; tax compliance; IT application; and IT infrastructure. Specific CFO Advisory services include strategic planning; financial planning (budgeting, modeling, forecasting and reporting); working capital and cash flow management; treasury management and liquidity; cost reduction analysis and planning; credit risk management; debt management; complex accounting matters such as initial accounting method selection or transition to a new method, new accounting standards implementation, asset retirement obligation or environmental liability calculation, depreciation and depletion calculation, and capital and operation lease schedules; organizational assessments; employee planning; contract administration; and Key Performance Indicator development and tracking. Specific Restructuring & Turnaround services for distressed companies includes interim support as Chief Restructuring Officer, other C-suite positions, and independent board members; and financial management, bankruptcy and fiduciary services. Specific Forensics and Litigation services include forensic accounting and investigations; commercial disputes; intellectual property; insurance disputes and claims; personal injury; anticorruption, ethics and compliance; construction disputes; real estate; and employment disputes. Risk Advisory Services tailored to the health care industry include governance, risk and compliance (GRC); risk assessment; fraud risk assessment; enterprise risk management; internal audit; internal control evaluation; Sarbanes-Oxley readiness and compliance; and business process analysis and improvement. IT Advisory Services tailored to the health care industry include data privacy, including Payment Card Industry (PCI) and HIPAA compliance; application controls review (automated business process controls); business continuity and disaster recovery; data analytics; information security and vulnerability assessment; ISO27001 reviews; IT audit and risk assessment; IT governance and organizational effectiveness; pre- and post-implementation application reviews; Service Organization Controls (SOC) reporting; and Certified Ethical Hacker (CEH) network security assessments.
